Influencer Collaboration Terms and Conditions

This Influencer Collaboration Agreement (the "Agreement") sets out the terms and conditions governing a collaboration between Aroma Concepts (the "Brand") and the undersigned influencer (the "Influencer"). The Brand and the Influencer are referred to together as the "Parties".

This Agreement becomes effective on the Effective Date stated in the signature section at the end of this document.

 

1. Scope of Collaboration

The Influencer agrees to create and publish social media content featuring the Brand’s products (“Content”) as requested by the Brand on a periodic basis.

  • Content requirements (topics, format, and frequency) may vary by month
  • The Brand may request specific themes, products, or campaigns
  • The Influencer agrees to fulfil reasonable content requests in good faith

 

2. Content Delivery Model

  • Content is not subject to pre-approval by the Brand
  • The Influencer is fully responsible for content creation and publishing
  • The Brand may provide guidance, but execution remains at the Influencer’s discretion

 

3. Monthly Engagement & Payment Structure

  • Collaborations may operate on a monthly basis
  • Monthly payment is conditional upon:
    • Content being requested by the Brand for that month, AND
    • Content being delivered and posted within the agreed timelines

 

  • If:
    • No content is requested in a given month, OR
    • Agreed content is not delivered

No payment will be due for that month

 

4. Compensation & Commission

  • Any fixed fee will be agreed separately in writing
  • Payment is contingent on full completion of agreed deliverables
  • No additional fixed compensation, bonus, or revised rates shall apply unless confirmed in writing
  • The Influencer may earn commission through:
    • Affiliate links
    • Discount codes
    • Platform-based programmes (including TikTok Shop or similar)

Such commission:

  • Is separate from the agreed fee
  • Is governed by the relevant platform or tracking system
  • Is not controlled or guaranteed by the Brand

 

5. Content Standards

Content must:

  • Be of reasonable professional quality
  • Be truthful and not misleading
  • Align broadly with the Brand’s positioning

The Brand may request correction or removal of any Content that:

  • Is inaccurate or misleading
  • May damage the Brand’s reputation
  • Breaches applicable laws, platform policies, or advertising standards

The Influencer agrees to act in good faith to address such requests within a reasonable timeframe as requested by the Brand.

Repeated failure to meet these standards may result in termination.

 

6. Promotional Nature

All collaborations are promotional in nature.

  • Content must present the Brand in a positive and fair manner
  • If the Influencer does not wish to create Content for a specific request, they must inform the Brand promptly. In such cases, the requested content will be treated as cancelled for that period, and no payment will be due. This will not be treated as a breach of this Agreement.

7. Usage Rights

The Influencer grants the Brand a:

  • Perpetual
  • Worldwide
  • Royalty-free
  • Non-exclusive licence

to use Content for:

  • Social media
  • Paid advertising (including whitelisting)
  • Website, email, and marketing

Content must remain live for a minimum of 12 months unless otherwise agreed.

The Influencer agrees not to delete, archive, or hide such Content during this period without prior written consent from the Brand.

8. Compliance & Legal

The Influencer must comply with:

  • All applicable laws and regulations
  • Platform rules and policies
  • Advertising disclosure requirements (including FTC guidelines where applicable)

The Influencer is solely responsible for ensuring compliance.

Indemnity:
The Influencer agrees to indemnify and hold harmless the Brand from any claims, penalties, or damages arising from non-compliance.

 

9. Confidentiality

All commercial terms and collaboration details are confidential and must not be disclosed without prior written consent.


10. Campaign Flexibility

The Brand may, at its discretion:

  • Adjust content requirements
  • Skip months
  • Pause collaborations

No payment obligation arises for any period where no deliverables are requested by the Brand.

 

11. Termination

Either Party may:

  • Terminate with 7 days’ written notice
  • Terminate immediately for material breach

 

12. No Public Disputes

All disputes must be handled privately.

The Influencer agrees not to publicly share, post, or reference any disagreement with the Brand.

 

13. Data Protection

Both Parties agree to comply with applicable data protection laws.
Personal data will be used only for purposes of the collaboration.

 

14. Force Majeure

Neither Party shall be liable for delays caused by events beyond reasonable control.
If such events continue for more than 30 days, either Party may terminate.

 

15. Governing Law

This Agreement is governed by the laws of the State of Florida, USA.

 

16. Entire Agreement

These Terms & Conditions apply to all collaborations and override prior discussions or agreements.
